You agree to indemnify, defend, and hold harmless Land & Sea International Realty, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising from or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your use of the Site caused damage to a third party. This indemnification obligation shall survive the termination of these Terms and your use of the Site.
13. GOVERNING LAW, ARBITRATION, AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Agreement to Arbitrate. You and Land & Sea International Realty agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any services provided by Land & Sea International Realty through the Site (collectively, “Disputes”) shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies. This agreement to arbitrate is intended to be broadly interpreted and includes, but is not limited to, claims arising out of or relating to any aspect of the relationship between you and Land & Sea International Realty, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.
Arbitration Procedures. Any arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration shall be conducted by a single arbitrator, and the seat of arbitration shall be Collier County, Florida. The arbitrator shall have the authority to award the same relief that would be available in a court of law. The arbitrator’s decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
Class Action and Jury Trial Waiver. YOU AND THE COMPANY EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL. If for any reason a claim proceeds in court rather than in arbitration, both you and the Company waive any right to a jury trial and agree that such claim shall be brought exclusively in the state or federal courts located in Collier County, Florida, and you hereby consent to the personal jurisdiction and venue of such courts.
Opt-Out Right. You have the right to opt out of this agreement to arbitrate by sending written notice of your decision to opt out via U.S. Certified Mail, return receipt requested, to: Attn: Dan Boyle, Land & Sea International Realty, 953 N Collier Blvd, Marco Island, FL 34145. Your opt-out notice must be postmarked within thirty (30) days of your first use of the Site. Opt-out notices sent by any other method (including email, standard mail, or facsimile) shall not be effective. If you opt out of this arbitration provision, all other provisions of these Terms will continue to apply.
Survival. This arbitration agreement shall survive the termination of these Terms and your use of the Site.
14. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.
15. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any other legal notices or policies published by Land & Sea International Realty on the Site, constitute the entire agreement between you and Land & Sea International Realty with respect to your use of the Site and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Land & Sea International Realty with respect to the Site.
16. MODIFICATIONS AND UPDATES
Land & Sea International Realty reserves the right to modify, amend, or update these Terms at any time and for any reason without prior notice. Any changes will be effective immediately upon posting the revised Terms on this Site, with an updated “Last Updated” date. You are responsible for reviewing these Terms periodically.
